Roselyn S. Sands is a partner leading the EY international labor and employment law practice. She is based in Paris, France. Roselyn started her career in the U.S. focusing her practice on international commercial and employment law litigation with the law firms of Holland & Knight (Miami, Floride) and Proskauer Rose (New York & California). In 1995, Roselyn moved to Paris, France where she practiced international arbitration, corporate law, and employment law with Sales Vincent & Associés and Proskauer Rose. In 2001, she joined EY Société d’Avocats in Paris to build the International Labor & Employment Law practice focusing exclusively on advising clients on French and European labor and employment-law matters. Roselyn has significant cross-border experience on both side of the Atlantic on HR/employment issues, particularly business transformations, mergers and acquisitions, carve-outs, post-transaction integration, global restructuring, SOX compliance, works councils management, employee privacy, technology and the workplace, discrimination and harassment issues and, more generally, managing the day-to-day workplace. Her first-hand knowledge of global companies and her business and solutions oriented pragmatism are central to her approach in assisting clients with the challenge of achieving their corporate objectives while complying with rigid and burdensome French and European labor and employment laws. Roselyn is a graduate of the University of Florida Business School, the University of Miami School of Law, as well as the University of Paris Law School. Roselyn has been teaching for many years in Paris at schools such as Sciences Politiques in Paris, the University of Paris Law School in both its Human Rights Master of Laws program and its International Human Resources Program (CIFFOP), and the INSEEC Business School of Paris, a multicultural and multilingual school. Roselyn is a member of the American Bar Association, International Bar Association, and the European Employment Lawyers Association, organizations for which she is a frequent speaker on global employment-related issues and trends. She is also a Co-Chair of the International Employment Law committee of the American Bar Association Section of International Law. She regularly writes for numerous publications, including the French-American Chamber of Commerce, Corporate Counsel, the International HR Journal, International Employment Lawyer and the IBA and ABA Labor and Employment Law newsletters. She is also the editor or the EY multi-jurisdictional update on labor & employment law matters. She is also the author of the French chapter in International Employment Laws (Matthew Bender & Co.), Redundancy Law in Europe and Age Discrimination (Wolters Kluwer), and the Littler Mendelson Guide to International Employment and Labor Law. Roselyn has also written extensively work on CSR, including various publications and speaking engagements, including, What is sustainable development?, at the Produrable, a French forum for professionals and sustainable development, April 2008, The European Lead?, at the Littler Global Employer Institute of October 2008, Corporate Social Responsibility and Organizational Culture: The Faces of the Organization in Challenging Times, at the XBHR Conference of March 2009, Reducing costs while being a socially responsible employer, Ernst &Young, March 2009, « Doing well by doing good » : a Challenge For Business, French-American Chamber of Commerce, May 2010 An American and French national born in Havana, Cuba, Roselyn is fluent in English, French and Spanish. Hervé Borensztejn
graduated from Paris’ School of Mining Engineering, holds a PhD in Economics from the same school, has been certified Executive Coach and is an auditor at “Centre des Hautes Etudes de Développement Economique” (French Ministry of Finance). Hervé started his career serving as marketing manager for French mining companies in South America, South East Asia and Africa. He was responsible for promoting the French Mining know-how and developed concepts of Education as a service as marketing tools. He started his career in Human Resources in 1989 as Executive Search Consultant for large high tech organizations. Then, he joined Compagnie Générale des Eaux as project manager on HSE, then Head of staffing, Head of Learning then People Development Director for this 40 000 p. utility organization. When JM Messier started the transformation journey of “Compagnie Générale des Eaux” into Vivendi Universal in 1997, Hervé was appointed as Change leader. He created “Vivendi Management”, one of the first French Corporate Universities, to support and leverage the changes requested (development of leadership and managerial skills, leadership model, massive e-learning and use of Intranet as a transformation tool). In 2000, he joined Louis Vuitton Moet Hennessy (LVMH) as deputy to the Chief HR officer. As such, he supported the active portfolio management through M&A HR and Integration support leader, learnt how to use the power of Brands to build an impactful Employer Value Proposition. End 2001, he joined EADS (European Aerospace, Defence and Space Company). For nine years, he held several positions in the field of HR Development at Group level (Corporate University, Shared Services for recruitment and learning, Competency Management, R&D HR director, Engagement leader, President of the Board of Diversity, Executive Coach, C&B, Performance management officer, etc.). In 2010, he joined Converteam, a global high-tech organization of 2 billion € revenue as member of the Executive Committee, acting as CHRO, Corporate Secretary and Communications officer, in order to prepare the exit of the LBO and further operations. End 2011, General Electric acquired Converteam. Hervé managed the post-merger integration process (after having led the due diligence process for Converteam). He left General Electric end 2012 once the integration done and with a global retention rate of 95%. Since January 2013, he is managing partner of KARISTEM Corporate Consulting, a niche player in the corporate consulting industry, where he shares his CHRO knowledge and experiences with his customers. Since several years, he has been Associate Professor at La Sorbonne university where he teaches International HR, Coaching and Talent management for Master students. He is also HR professor at the Executive MBA of ESSEC. He has written a couple of books, including “Growing Talents, a Corporate duty” (Marshall Cavendish ed., 2009).



Dr. Larry Taylor is a seasoned independent professional corporate director. As the past CFO of a publicly traded corporation and CEO of private corporations he brings innovative and entrepreneurial energy to the boardroom. As a corporate adviser he has conducted management audits of over 1,000 mega-cap, large-cap, mid-cap and small-cap corporations in a variety of industries and countries. Thus, he brings a broad based, multifaceted globalization mindset to the boardroom. As a past adjunct professor of management and Drucker disciple he brings the research and education perspective. His presence in the boardroom helps the board avoid the "group think" syndrome that often accompanies corporate strategy and risk assumption deliberations. He is candid and engaged with constructive skepticism focused on adding sustainable value to the corporation. He has a wealth of board leadership and director education experience. He holds a PhD in Executive Management from the Peter Drucker School of Management at Claremont University, a master’s degree in Business Administration from Pepperdine University and a bachelor’s degree in Industrial Administration from General Motors Institute. Specialties: Dr. Taylor has been designated as an expert in financial analysis, financial accounting, risk assessment, compensation incentive systems, performance measurement, strategic planning, environmental management, quality management and international management standards.
